These Terms of Use (“Terms”) govern your access to and use of the services (“Services”) provided by Workcohol Solutions Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at Tidel Park, Module 115-D, North Block, Dotcoworks, First Floor, Rajiv Gandhi Salai, Taramani, Chennai - 600113, India, along with its affiliates, successors, assigns, and subsidiaries (collectively, “Workcohol Solutions”).
Principles
By accessing or using the Services, you agree to be bound by these Terms, forming a contractual relationship between you and Workcohol. If you do not agree to these Terms, you are not permitted to access or use the Services. These Terms expressly override any previous written or verbal agreements with you. PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.
Additional terms may apply to specific Services and will be disclosed to you in relation to those Services. These supplemental terms are considered a part of these Terms. In the event of any conflict between these Terms and the supplemental terms, the supplemental terms will take precedence.
Workcohol reserves the right to immediately restrict your access to or use of the Services, or any part thereof, without prior notice, if Workcohol has reasonable grounds to suspect that:
- You have breached, or are likely to breach, these Terms; and/or
- you do not, or are likely not to, meet the legal requirements or Workcohol's standards and policies for accessing and using the Services.
Workcohol may terminate these Terms and/or any Services with respect to you, or may discontinue or deny access to the Services or any portion thereof, immediately if Workcohol reasonably suspects that:
- You have, or are likely to, commit a material breach of these Terms; and/or
- You do not, or are likely not to, meet the legal requirements or Workcohol's standards and policies to access and use the Services; or
- with thirty (30) days' prior notice, if Workcohol reasonably terminates these Terms or any Services for legitimate business, legal, or regulatory reasons.
You may terminate these Terms at any time by providing Workcohol with thirty (30) days' prior notice.
Modification of these terms
Workcohol reserves the right, at its sole discretion, to change, modify, or amend these Terms and any documents incorporated by reference, to comply with legal and regulatory requirements and for other legitimate business purposes, at any time. Amended Terms will be posted at this domain: https://www.workcohol.com/page-terms. It is your responsibility to review the Terms of Use and any changes, and you are encouraged to check them frequently. Your continued use of the website www.workcohol.com (“Website”) after the amendments take effect will signify your acceptance of the revised Terms of Use. If you do not agree to comply with these or any future Terms of Use, please refrain from using or accessing the Website or our Services.
Privacy Policy
Workcohol has a dedicated privacy policy (“Privacy Policy”) available at https://www.workcohol.com/page-privacy. The Privacy Policy outlines how Workcohol collects and utilizes users' personal information, as well as how users can access and correct their personal information held by Workcohol and submit a privacy complaint. This Privacy Policy is incorporated into these Terms. Your use of the Website is subject to the Privacy Policy.
Services
Workcohol will provide the Services to you under these Terms. The Services encompass a range of offerings selected by you and agreed upon between Workcohol and you, delivered through third-party service providers (“Vendors”). You acknowledge that the Services will be provided by these Vendors, who are not employees of Workcohol or its affiliates. The liability of Workcohol and the Vendors will be outlined in a separate agreement executed for this purpose.
Subject to your compliance with these Terms, Workcohol grants you a limited, non-exclusive, revocable, non-transferable license to: (i) access and use the Website in connection with your use of the Services; and (ii) access and utilize any content, information, and related materials that may be available through the Services. All rights not expressly granted herein are reserved by Workcohol.
Without Workcohol's permission or explicit written consent, you may not:
- Remove any copyright, trademark, or other proprietary notices from any part of the Services;
- Remove, modify, prepare derivative works based on, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the Services;
- Decompile, reverse engineer, or disassemble the Services except as permitted by applicable law;
- Link to, mirror, or frame any portion of the Services;
- Initiate any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any part of the Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Services; or
- Attempt to gain unauthorized access to or impair any aspect of the Services or its related systems or networks.
Your use of the services
To use the Services, you must be at least eighteen (18) years old. Registration with Workcohol may require you to provide certain personal information, including your name, organization name, address, mobile phone number, email, and age. You agree to provide and maintain accurate, complete, and up-to-date information with Workcohol. Failure to provide accurate, complete, and updated information may result in your inability to access or use the Services.
The Services are not available for individuals under the age of 18. Unless explicitly authorized by Workcohol, you may not permit third parties to use the Services on your behalf. You may not assign or transfer the Services provided by Workcohol or its Vendors to any other person, entity, or party without Workcohol's explicit written consent.
You agree to comply with all applicable laws when accessing or using the Services and may only use the Services for lawful purposes. In your use of the Services, you will not cause any nuisance, inconvenience, or damage to property, whether to the Vendor or any other party.
Workcohol prohibits discrimination against its Vendors based on race, religion, caste, national origin, sex and sexual orientation, disability, marital status, age, or any other characteristic protected by applicable law. This includes, but is not limited to, any refusal to accept Services based on these characteristics.
Workcohol may, at its sole discretion, allow you to submit, upload, publish, or otherwise make available to Workcohol textual, graphic, audio, or video content (collectively referred to as “User Content”). Any User Content you provide remains your property. However, by submitting User Content to Workcohol, you grant Workcohol a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works from, distribute, publicly display, publicly perform, and otherwise exploit such User Content in any manner across all formats and distribution channels now known or developed in the future, without further notice or consent from you, and without any obligation of payment to you or any other person or entity.
You represent and warrant that:
- You are either the sole and exclusive owner of all User Content or you possess all necessary rights, licenses, consents, and releases to grant Workcohol the license to use the User Content; and
- Neither the User Content nor your submission, upload, publication, or other provision of such User Content, nor Workcohol's use of the User Content as permitted herein, will infringe upon, misappropriate, or violate any third party's intellectual property or proprietary rights, publicity or privacy rights, or result in any violation of applicable laws or regulations.
You agree not to submit any User Content that is defamatory, grossly harmful, blasphemous, paedophilic, invasive of another's privacy, ethnically objectionable, disparaging, or content that encourages money laundering, gambling, or any other unlawful activity. Additionally, content that is libellous, racist, harmful, violent, obscene, pornographic, or otherwise objectionable, as determined by Workcohol in its sole discretion, is prohibited, whether or not such material is protected by law. Workcohol reserves the right, but is not obligated, to review, monitor, or remove User Content at any time, for any reason, and without prior notice.
Payment
You understand that Workcohol will charge a fee (“Fee”) for the Services provided to you. This Fee may be billed as a one-time payment or at intervals agreed upon between you and Workcohol. To facilitate the collection of the Fee, Workcohol may utilize a pre-paid wallet. All Fees paid by you are final and non-refundable unless otherwise determined by Workcohol or required by applicable law. The terms of payment for the Fee will be as agreed upon between you and Workcohol.
Limitation of liability, indemnity
The liability and indemnity obligations of the Parties shall be as agreed upon between them and outlined in the agreement specifically executed for this purpose.
Governing laws, disputes
The laws of India shall govern the relationship and all transactions between you and Workcohol. The exclusive jurisdiction shall be the courts located in Chennai, India.
Policy for DND/NDNC
By using the Website and/or registering at workcohol.com, you authorize us to contact you via email, phone call, or SMS to provide information about our services, share product knowledge, and inform you of promotional offers available on the website and those offered by associated third parties. As part of this process, personally identifiable information may be collected. Regardless of whether you are registered under the DND, DNC, or NCPR services, you still authorize us to contact you for the purposes mentioned above for up to 365 days from the date of your registration with us.
Other provisions
The provisions regarding Notice, Waiver, Assignment, Severability, and other related matters shall be outlined in the Agreement executed with you.
